These Terms and Conditions (the “Terms”) govern your access to and use of carmicduo.com, related CarMicDuo webpages, CarMicDuo AI Site Control, the CarMicDuo Connection Hub, and the digital products, downloads, licences, communications, tools and services made available by CarMicDuo (collectively, the “Services”).
By accessing the website, placing an order, activating a licence, pairing a WordPress website, connecting ChatGPT, using an enabled tool or using a CarMicDuo product, you agree to these Terms, the Privacy Policy, the refund policy presented for the applicable product, and any product-specific licence or terms shown before purchase. If you do not agree, do not use the Services.
1. About CarMicDuo
CarMicDuo is a digital publishing and online business brand operated from Moncton, New Brunswick, Canada. References to “CarMicDuo,” “we,” “us” or “our” mean the operator of CarMicDuo.

2. Eligibility and authority
You must be legally capable of entering into a binding contract in your jurisdiction. If you use the Services for a business, client or other organization, you confirm that you have authority to bind that organization and to connect, inspect or modify the applicable website.
You may connect only a WordPress website that you own, administer, or are expressly authorized to manage. You are responsible for ensuring that your use of the Services complies with employment duties, client agreements, privacy obligations, intellectual-property rights and applicable law.
3. Acceptable use and prohibited activities
You agree not to:
- use the Services for unlawful, fraudulent, deceptive, abusive, defamatory or infringing activity;
- connect, inspect, modify or attempt to control a website without proper authorization;
- bypass licence checks, permission switches, administrator approvals, confirmation requirements, rate limits or other safeguards;
- probe, scan, scrape, reverse engineer or interfere with the website, Connection Hub, plugin, APIs, accounts, security features or delivery systems except where applicable law expressly permits it;
- introduce malware, malicious code, destructive content, excessive traffic or instructions intended to damage, disable or compromise a website or service;
- use the Services to publish spam, unlawful advertising, deceptive affiliate content, counterfeit offers or prohibited products;
- upload or transmit passwords, complete payment-card numbers, unlawful files, malware, or sensitive information that is unnecessary for the requested task;
- misrepresent your identity, affiliation, authority, results, rights, licence status or ownership of a website or content;
- copy, resell, distribute, sublicense or make source files available except where a written CarMicDuo licence expressly permits it; or
- remove copyright, licence, attribution, security or proprietary notices.
4. Digital products and product descriptions
CarMicDuo sells or provides digital materials such as guides, templates, workbooks, planners, graphics, educational content, software, plugins, online tools and licensed publishing resources. Product descriptions, included files, formats, requirements, licence level and delivery method are stated on the applicable sales page or checkout.
Digital products are not physical goods. You are responsible for reviewing the description and confirming that you have the software, equipment, compatible WordPress environment, third-party accounts and skills reasonably required to use the product.
We may correct typographical errors, update product content, modify technical requirements, or make reasonable improvements that do not materially reduce the purchased product. Unless expressly promised, a purchase does not include future versions, custom development, one-to-one consulting, migration work or indefinite support.
5. Orders, prices, payment and delivery
Prices and currencies are displayed before purchase. Applicable taxes, payment-provider charges or currency-conversion costs may be added or handled by the marketplace or payment provider. You authorize the applicable provider to charge the payment method you select.
Orders may be processed by third-party platforms such as WarriorPlus or Etsy and payment providers such as PayPal or Stripe. Their checkout, account and payment terms also apply. CarMicDuo does not receive or store your complete payment-card number when payment is processed by those providers.
An order is accepted when payment is successfully completed and access or delivery is confirmed. We may cancel and refund an order affected by an obvious pricing error, suspected fraud, sanctions or legal restrictions, unauthorized payment, chargeback abuse or an inability to supply the product.
You are responsible for providing a working email address and accurate checkout information. If delivery does not arrive, check your marketplace purchase history and spam folder, then contact support with the product name and transaction ID.
6. Licences and intellectual property
The website and CarMicDuo-created text, graphics, branding, layouts, software, plugins, products and source files are protected by copyright and other intellectual-property laws. Purchasing a product gives you only the rights stated in the licence supplied with that product. Ownership of the underlying intellectual property is not transferred unless a written agreement expressly says otherwise.
Licence levels may differ. A personal or commercial end-use licence does not include private-label rights (“PLR”), master resale rights (“MRR”), resale rights, redistribution rights or the right to provide source files to clients. An agency licence or PLR licence applies only when expressly included and only within its stated limits.
If a sales page, licence and these general Terms appear inconsistent, the product-specific licence controls the permitted use of that product, while these Terms continue to govern the website, purchase and all other matters.
7. Licence activation and validation
Certain products, including CarMicDuo AI Site Control, may require activation, periodic validation or continued verification of a valid licence. Activation may associate a product licence with a website, installation identifier, site URL, generated site UUID, plugin version, account, product identifier or related technical record.
You must provide accurate activation information and may not share, sell, transfer, duplicate, conceal or manipulate activation credentials except where the applicable licence expressly permits it. We may limit the number of active installations, require revalidation after a material change, or deactivate duplicate, fraudulent, refunded, expired or unauthorized activations.
Licence validation may depend on third-party hosting, DNS, firewall, marketplace, payment or network services. Temporary validation failure may limit access until the licence can be confirmed. A valid licence does not guarantee continuous compatibility with every WordPress version, host, plugin, theme, AI platform or third-party service.
8. CarMicDuo AI Site Control and the Connection Hub
CarMicDuo AI Site Control is designed to connect an authorized ChatGPT experience with a licensed WordPress website through the CarMicDuo Connection Hub. The Hub may authenticate an installation, identify enabled functions, route approved requests and responses, support uploads, validate licences and enforce permission or approval controls.
The Services provide a controlled technical connection and do not replace the website owner’s judgment, WordPress security, backups, legal review or editorial review. You remain responsible for every connected website and for all actions requested through your accounts.
9. Authorized WordPress connections
A WordPress connection must be established through the supported pairing or authorization process. You may not reuse pairing codes, secrets, tokens or connection credentials outside their intended purpose or disclose them to unauthorized persons.
You are responsible for confirming that the correct website is connected, maintaining administrator access, protecting WordPress accounts, updating the plugin and WordPress environment, and revoking a connection when access is no longer needed. Removing the plugin, disabling the connection or revoking credentials may stop connected tools from functioning.
10. Owner-controlled permissions and administrator approvals
The website owner controls which supported WordPress functions are enabled through permission switches and related settings. Available access may be read-only or may include selected content, media, navigation, membership, affiliate or configuration changes.
Some functions may require explicit confirmation, administrator approval, a one-time approval token or other additional authorization. You agree not to bypass these requirements. Approval of one action does not authorize unrelated actions, and an approval may expire or be limited to the specific operation described.
The website owner remains responsible for reviewing enabled permissions regularly and disabling functions that are unnecessary. CarMicDuo may also restrict a function for security, legal, technical, abuse-prevention or service-stability reasons.
11. ChatGPT, OpenAI and AI-generated instructions
CarMicDuo AI Site Control may be used through ChatGPT or another supported artificial-intelligence interface. OpenAI and other AI providers are independent third parties with their own accounts, plans, terms, privacy practices, availability and technical limitations.
AI outputs may be incomplete, inaccurate, outdated, unexpected or unsuitable. You are responsible for reviewing prompts, tool selections, proposed changes, generated content, factual claims, legal statements, links, pricing, code and final results before relying on or publishing them.
CarMicDuo does not control the AI provider’s model behaviour, account decisions, outages, retention settings or output. A request expressed in natural language may be interpreted differently than intended. Use read-only access, drafts, previews, backups and administrator approvals where appropriate.
12. WordPress content changes and publishing
Connected tools may create drafts, retrieve content or make changes only when the applicable function is enabled and authorized. Publishing, scheduling, deleting, changing access controls or performing other higher-impact actions may require additional permission or approval.
You are responsible for reviewing every change before publication, including titles, body content, metadata, links, images, affiliate disclosures, accessibility, formatting, legal compliance and third-party rights. Draft status does not guarantee that content is private from every administrator, plugin, host, preview recipient or connected system.
13. Uploads and file handling
Where upload tools are enabled, you may direct approved files to the WordPress Media Library or protected storage. You represent that you have the right to upload and use each file and that it does not contain malware, unlawful material, confidential data disclosed without authority, or content that infringes another person’s rights.
You are responsible for filenames, file contents, metadata, alt text, captions, storage limits, backups and access settings. Uploads may fail, be interrupted, be rejected for security reasons or be affected by hosting, size, type, network or WordPress restrictions. You should retain an independent copy of important files.
14. Amazon Associates tools
Where enabled, the Services may build, preview, route or apply Amazon product and affiliate links using customer-provided ASINs, country settings, marketplace routing and configured Associates tags. You are responsible for the accuracy of each ASIN, destination, link text, country choice and affiliate configuration.
You must comply with the Amazon Associates Program Operating Agreement, applicable marketplace rules, disclosure requirements and advertising laws. CarMicDuo does not guarantee product availability, price, commission eligibility, tracking, attribution, country routing or acceptance by Amazon. Amazon may change or disable links, products, accounts, tags, APIs or program terms independently.
15. Skool, Zapier and CSV features
Where supported, the Services may help prepare or transfer information for Skool, Zapier, CSV export or similar workflows. You are responsible for choosing the correct records, fields, recipients, destinations, automation steps and access controls.
Once data is exported, downloaded or transferred to a third party, it may be outside CarMicDuo’s control. You must ensure that the transfer is lawful, authorized and consistent with your privacy notices, contracts and retention obligations. CarMicDuo is not responsible for downstream changes, duplicate records, automation errors, import failures or actions taken by a receiving service.
16. Customer responsibilities
You are responsible for:
- maintaining accurate account, licence and website information;
- protecting your WordPress, hosting, marketplace, email, ChatGPT and administrator accounts;
- maintaining appropriate backups and a recovery plan before enabling content changes;
- reviewing permissions, approval requests, AI-generated content and tool results;
- ensuring that connected users and contractors have appropriate authority;
- complying with privacy, anti-spam, advertising, consumer-protection, accessibility, tax, intellectual-property and industry requirements;
- providing required affiliate, sponsorship, AI-use or commercial disclosures;
- testing changes in a suitable environment where a mistake could cause material harm; and
- promptly revoking connections or reporting suspected compromise, misuse or unauthorized access.
17. Refunds
Refund eligibility is governed by the refund policy disclosed on the applicable sales page, checkout or product terms. For the Email Revenue Engine product family, review the Email Revenue Engine Refund Policy.
A refund for one product does not automatically refund separately purchased products unless the applicable policy says otherwise. When a refund is issued, access to the refunded product and every related licence, activation and connection ends. You must delete refunded files and stop using, publishing, selling, distributing or supplying them to clients.
Nothing in these Terms or a refund policy limits a consumer right that cannot lawfully be waived.
18. Support
Support covers reasonable assistance with access, delivery, activation, pairing and identifying included files or supported functions. Unless expressly included, support does not include business, marketing, legal, tax, custom-development, hosting administration, incident response, data recovery, third-party account support or software training.
When requesting support, provide your purchase email, product name, transaction ID, relevant site URL or connection identifier, and a clear description of the problem. Do not send passwords, complete payment-card details, connection secrets or unnecessary sensitive information.
19. Educational information and results disclaimer
CarMicDuo content is provided for general educational and informational purposes. It is not legal, financial, tax, accounting, medical, cybersecurity or other regulated professional advice. You are responsible for obtaining appropriate professional advice and verifying that your use complies with laws, platform rules, industry requirements and contractual obligations.
Business, marketing, traffic, audience, revenue and conversion results vary. CarMicDuo does not promise earnings, sales, rankings, traffic, deliverability, platform approval, security outcomes, uptime or any particular result. Examples are illustrative and do not represent that you will achieve the same outcome.
20. Third-party services and links
The Services may link to, depend on or integrate with third-party websites, marketplaces, processors, hosting services, WordPress, OpenAI, ChatGPT, Amazon, WarriorPlus, Etsy, PayPal, Stripe, Skool, Zapier, content-delivery networks, firewalls, plugins, software and platforms.
CarMicDuo does not control and is not responsible for their availability, content, security, data practices, terms, pricing, policies, account decisions, compatibility or actions. A link or integration does not constitute an endorsement. Your use of a third-party service is governed by that provider’s terms and privacy practices.
21. User communications, reviews and submissions
You retain ownership of original material you send to us. You grant CarMicDuo a limited right to use it as needed to provide support, process your request, operate a requested tool, prevent fraud, enforce these Terms and comply with law.
We will not publicly identify you in a testimonial or case study without permission. If you submit a review, testimonial or other material for publication, you confirm that it is truthful, based on your genuine experience, does not infringe another person’s rights, and discloses any material connection or incentive.
22. Service availability
We work to keep the website, licence systems, Connection Hub and delivery systems available, but uninterrupted, timely, secure or error-free access cannot be guaranteed. Maintenance, updates, hosting issues, DNS failures, security events, rate limits, marketplace outages, AI-provider changes, WordPress incompatibilities and circumstances outside our reasonable control may interrupt or limit access.
We may modify, replace, limit, suspend or discontinue a feature where reasonably necessary for security, compliance, technical compatibility, abuse prevention, commercial viability or service improvement. We do not guarantee that every function will remain available or compatible with every third-party system.
23. Warranty disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without express or implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, compatibility, availability or uninterrupted operation.
We do not warrant that an AI request will be interpreted correctly, that a tool will produce the intended result, that content will be accurate or legally compliant, that uploads will complete, that affiliate links will track, that integrations will remain available, or that a connected website will be free from errors, data loss, conflicts or security incidents.
This section does not exclude warranties or protections that applicable law does not permit us to exclude.
24. Limitation of liability
To the fullest extent permitted by law, CarMicDuo will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, revenue, data, content, files, business opportunities, affiliate commissions, rankings, access, goodwill or website availability arising from or related to the Services.
CarMicDuo is not responsible for losses caused by AI-generated errors, customer instructions, unauthorized accounts, incorrect permissions, third-party platforms, plugin or theme conflicts, hosting failures, malware, failure to maintain backups, publication of unreviewed content, incorrect affiliate links, export mistakes or customer misuse.
Where liability cannot be excluded, CarMicDuo’s total aggregate liability relating to a paid product or service will not exceed the amount you paid to CarMicDuo for that product or service during the twelve months preceding the event giving rise to the claim. These limitations do not apply to liability that cannot lawfully be limited, including non-waivable consumer rights.
25. Indemnity
To the extent permitted by law, you agree to indemnify CarMicDuo against third-party claims and reasonable costs arising from your unlawful use of the Services, unauthorized website connection, instructions or content, violation of a product licence, infringement of another person’s rights, failure to provide required disclosures, misuse of affiliate or export tools, or material breach of these Terms. This obligation does not apply to the extent a claim was caused by CarMicDuo’s own unlawful conduct.
26. Suspension, termination and connection revocation
We may suspend or terminate access, deactivate a licence, restrict a function or revoke a connection when reasonably necessary to address fraud, security threats, unauthorized access, unlawful conduct, chargebacks, licence violations, abuse, technical risk, legal requirements or material breaches of these Terms.
You may stop using the Services and revoke a connection through available controls. Termination or revocation may immediately disable connected tools, approvals, uploads, licence validation or access to hosted functions. You remain responsible for content already published, data already exported and obligations incurred before termination.
Where practical and lawful, we will provide notice and an opportunity to resolve the issue. Sections intended by their nature to continue—including licences, intellectual property, customer responsibilities, disclaimers, liability limits, indemnity and dispute provisions—survive termination.
27. Governing law and disputes
These Terms are governed by the laws of New Brunswick and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory consumer-protection rights or jurisdiction that cannot be changed by agreement, disputes will be brought before the courts of New Brunswick, Canada.
Before starting formal proceedings, you agree to contact us with a description of the issue and requested resolution so both parties can attempt to resolve it informally. This does not prevent either party from seeking urgent relief or exercising a right that cannot be waived.
28. Changes to these Terms
We may update these Terms to reflect changes to the Services, laws, providers, security requirements or business practices. The revised version will be posted with a new effective date. Material changes will apply prospectively unless law requires otherwise. Terms in effect when you purchased a product continue to govern that completed purchase unless you agree to a change or mandatory law applies.
29. General provisions
If any provision is held unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms or a product licence without written permission. We may transfer these Terms as part of a legitimate sale, reorganization or transfer of the CarMicDuo business, subject to applicable law.
These Terms, the Privacy Policy, the applicable refund policy, product description and product-specific licence form the entire agreement concerning the relevant Services.
